Strike off

The Registrar of Corporations may strike or remove the name of a corporation from the Registry if the corporation:

• Does not file any notice, return or other document that the Act requires to be filed;
• Does not pay any required fee;
• Dissolves and amalgamates with another corporation; or
• Does not follow certain directions that may be given to it by the Registrar.

The most common reason why a corporation is struck from the registry is for not filing its annual return or financial statements. Where annual filings are concerned, a non-profit corporation will be struck from the Registry If an annual return and financial statements are not received within 30 days from the date on the final notice correspondence.

Striking a corporation off the Register is not the same as dissolving the corporation.

Restoring a name to the Registry

Before it can be reinstated, a corporation that has been struck off the registry must include:

• Any supporting documents (such as overdue financial statements); and
• A name search request if the corporation has been struck for more than one year.

Filing your Restoral:

• Login to the Corporate Registry application.
  • Select ‘file'.
• Enter your Saskatchewan entity number or name in the ‘update entity’ field.
  • Click on your entity name that displays.
  • Select the option ‘application to restore name to the registry’.
• Complete the application and submit.
  • The summary screen within the application will provide an overview of your registration.

Dissolution

A dissolution is a voluntary legal termination of a corporation. A corporation can dissolve one of three ways:

1. A corporation can apply to dissolve when it has no property and no liabilities, has not issued any membership interests or other securities and is dissolved by resolution of all the directors. 
2. The corporation has no property and no liabilities and is dissolved by special resolution of the members of each class whether or not they are otherwise entitled to vote.
3. Or, when the corporation has distributed its property and discharged its liabilities pursuant to special resolution of shareholders of each class whether or not they are otherwise entitled to vote.

Filing your Dissolution:

• Login to the Corporate Registry application.
  • Select ‘file’.
• Enter your Saskatchewan entity number or name in the ‘update entity’ field.
  • Click on your entity name that displays.
  • Select the option ‘dissolution’.
• Complete the application and submit.
  • The summary screen within the application will provide an overview of your registration

Revival

A revival allows a corporation that has been dissolved to be restored to its previous legal position in the same manner and to the same extent as if it had not been dissolved. A corporation is revived on the date appearing on the Certificate of Revival.

In order to revive a non-profit corporation in the Corporate Registry application you will need to know your:

Reserved Corporate Name (Reservation Number) 

• Alternatively you may opt to select a numbered name.

Entity Details

• Your annual return due date.
• The interest of applicant in revival. This will give you selections as to why you would like to revive your corporation.
• Reason for dissolution.

Articles

• This includes share details, authorized number of directors, restrictions, and/or articles of attachment.

Registered Office

• Physical address (location of Registered office which must be a Saskatchewan address).
• The registered office physical address cannot be a P.O. box number.
• Mailing address.
• Email address.

Director/Officer Information

• Includes first/middle/last names, physical address, and mailing address of directors and/or officers. An email address may also be provided but is not required.
• The role, director and/or officer must be identified.
• For officers, the office held must be provided.

Power of Attorney

• Only required when there is not a director or officer with a physical address in Saskatchewan, but a Power of Attorney may be optionally appointed if there is a Saskatchewan-resident director or officer.

Fees

• Fees applicable to your incorporation will be displayed under the fees tab in the Corporate Registry application.

Filing your Revival:

• Login to the Corporate Registry application.
  • Select ‘file’.
• Enter your entity number or name in the ‘update entity’ field.
  • Click on your entity name that displays.
  • Select the option 'revival'.
• Complete the application and submit.
  • The summary screen within the application will provide an overview of your registration.
